Conditions of Bid:

This auction item consists of a cabin, acreage & lakefront access in Blue Springs, MS as described on the attached (the "property"). All square footage and acreage numbers are estimates and must be verified by the bidder and are not warranted by the seller.

The minimum bid is $186,900. No bids under the minimum bid will be accepted. 

20% of the net proceeds received by seller above what seller would have received if a sale of the property for the minimum bid was closed on the terms of the Written agreement (as defined below) (the "chartiable Donation") will be donated by the seller to CMOM.

The bid is not binding on bidder or seller until a written sale and purchase agreement acceptable in all respects to bidder and seller (the "Written Agreement"). Bidder has sole discretion to determine what is acceptable to seller with respect to the Written Agreement. The Written Agreement must be fully executed on or before February 3, 2012. If the bidder and seller have not executed a mutually agreeable Written Agreement on or before February 3, 2012, then the bid shall become null and void and seller shall have no obligations to the bidder or the CMOM.

Seller must actually receive the proceeds of the sale before any obligation to the CMOM arises. Seller is represented by a broker who will be paid a commission on this transaction. Other closing costs will apply. The Charitable Donation shall be calculated as stated above and shall be based only on the net proceeds actually received by seller at closing. Seller shall not have any obligation to pay the Charitable Donation to the CMOM unless (i) a written agreement  is executed by bidder (and not a transferee or assignee of bidder) and Seller on or before February 3, 2012 and (ii) the transaction is closed and Seller receives net proceeds that would result in a Charitable Donation being owed, taking into account deductions for commission(s) and other closing costs or fees payable by seller.
